These Terms and Conditions define the commercial arrangement between a Referral Marketing Entity branded as Keytos and you, the Independent Representative. The Keytos platform, accessible at https://dashboard.keytos.global/ (hereinafter referred to as the "platform"), is operated by a company registered in the Marshall Islands, with registration number BC No: 125309.

Please examine these Terms attentively before utilizing the services specified herein to ensure complete understanding. By proceeding, you explicitly affirm and accept these Terms, committing to adhere to them as a prerequisite for obtaining a referral code. If at any moment you disagree with any clause, you must immediately cease promotional activities, recognizing that any actions taken before such cessation remain governed by these Terms.

By joining the KEYTOS system and conducting any related activities, you affirm:
- I am legally an adult in my jurisdiction.
- I acknowledge my role as an independent operator, not a company employee or agent.
- I am fully accountable for all applicable local and federal tax obligations, including self-employment and any potential sales taxes.
- I understand this role is neither a franchise nor distributorship sale. Apart from a software license fee ( Ambassador fee), no fee is required to join as an Independent Representative of Keytos.
- Product purchases are completely voluntary and not mandatory for participation.

As an Independent Representative (also called Independent Ambassador), I commit to emphasizing the promotion of the COMPANY's objectives and acquiring clients from outside the Independent Ambassador network. In presenting the COMPANY’s purpose, I agree to follow prescribed presentation formats. Non-compliance may result in termination.

Keytos reserves the right to revise these Terms at its discretion, including posting revised content on https://dashboard.keytos.global. Continued use of Keytos tools following changes constitutes acceptance. If you disagree with any updates, you should stop using the services.

Further software usage indicates acknowledgment of modified conditions. Continued service use post-modification implies binding consent.

1.   In each presentation given by the Independent Ambassador the prospect shall be directly informed that no enrollment fee will be charged by the COMPANY to become an ID of the COMPANY.
2.   I have carefully read, understood and agreed to comply with the COMPANY’s Terms and Conditions and Policies and Procedures. I further agree and understand that the COMPANY’s Policies and Procedures are a binding part of this agreement. I understand that I must be in good standing and not in violation of any of the terms of this agreement in order to be eligible to receive any bonuses or commissions for the COMPANY. The continuation of my COMPANY Independent Distributorship or my acceptance of bonuses or commissions shall constitute my acceptance of the Terms and Conditions, the Policies and Procedures and any and all amendments pertaining to both.
3.   In order to maintain a viable marketing structure and to comply with the changes to federal, state and local laws and economic conditions, the COMPANY may provide additional Terms and Conditions for IDs from time to time, as well as to modify its ID compensation program in the Booklet and Policies and Procedures. Such additional Terms and Conditions, Policies and Procedures and Booklet modifications and all changes thereto, shall become a binding part of this Agreement upon publication on the official COMPANY website or other official COMPANY publications.
4.   I understand that I must verify that my enrollees are adults of legal age and able- bodied with legal capacity in their state of residency. I also agree that I will not make any claims, statements, or representations about the COMPANY’s products that are not found on the COMPANY’s websites or official marketing materials or are not specifically approved by the COMPANY (KEYTOS GLOBAL Marketing Guidelines).
   I agree to indemnify the COMPANY and hold it harmless in the event I make any such unapproved statements that result in government investigation, government or private litigation, claims, regulatory action, or any other adverse event relating to the COMPANY or its products.
5.   I understand that my position can be inherited or bequeathed, but cannot be transferred or assigned during my lifetime without written consent of the COMPANY. The transfer of a position is an exception and is generally allowed in special cases due to medical, social or other objective inability to continue performing the activity of an ID.
6.   This Agreement shall be in effect upon its receipt and acceptance by the COMPANY either in written form, by mail or fax transmission or through the COMPANY’s website by clicking the Terms and Conditions tab to confirm agreement.
7.   I am responsible for supervising and supporting the IDs I refer or enroll into the program and in my commissionable down-lines. I agree to maintain monthly communication and support to these IDs in my commissionable down-lines by the way of any of the following or combination thereof: Personal contact, telephone communication, written communication and attendance at ID meetings.
   
8.   As an ID of the COMPANY, I will be provided with obligatory Promo Materials and Marketing Guidelines to help me in my capacity as an ID. COMPANY provides the following fulfillment to its IDs: Optional promotional materials fulfilled Commissions are payable to IDs according to the current Compensation Plan which is incorporated in the Booklet.
   
   I. I will not make false, misleading or disparaging statements about the COMPANY, its employees or founders, the compensation plan, ID positions or the COMPANY mission and vision. Display of commission checks, the making of income projections and use of income testimonials to prospective IDs is strictly prohibited. I will conduct myself as an ID in a courteous, fair and ethical manner.
9.   Change of original enroller is not permitted. ID and customer lists and names are owned by the COMPANY and may never be used for any commercial or business purpose without prior written consent of the COMPANY.
10.   I understand that any return of product or missing payments and fraud in my down-line or customer base may result in a charge back against commissions or bonuses paid to me by the COMPANY.
11.   I authorize the COMPANY to use my name, photograph, personal story and/or likeness in advertising or promotional materials and waive all claims for remuneration for such use.
12.  I agree that I will be solely responsible for paying expenses incurred by myself, including but not limited to travel, food, lodging, secretarial Dashboard, telephone, cell phone and other expenses.
13.   I give permission to the company to contact me by email or text messaging for reasons including, but not limited to COMPANY announcements, bonus programs and promotions, changes in policy, etc.
14.   I understand that the company may charge me some fees for any payment made to me by company check or by wire transfer or by direct deposit.
15.   I understand and agree that I will not solicit another KEYTOS GLOBAL Independent Distributor or entity to join another multilevel marketing opportunity offered by another company during the term of my KEYTOS GLOBAL Independent Distributorship and for a period of one year after. Violation of this company policy may result in immediate termination. In addition, I may be subject to injunctive relief including possible civil penalties and monetary damages for engaging in such conduct. In such a case, I expressly agree that all possible overdue and non-overdue obligations of the company to me cease and I waive them.
16.   I agree not to use the COMPANY name, logo, pictures, trademarks or any of the COMPANY’s published written content to optimize any other website position in a search engine. I further understand that doing any of the above may cause financial harm to the COMPANY which may result in me being required to pay damages to the COMPANY for such actions and may also result in termination of my status as an ID of the COMPANY.
17.   I understand and agree that I will not market or promote any outside service or product to any other COMPANY IDs. These include but are not limited to internet capture pages, and sales leads. It is further understood that in the course of my status as an ID of the COMPANY, I may produce marketing tools to assist my downline organization to grow their COMPANY Independent Distributorship. In doing so, I agree that such marketing tools must first be approved by the COMPANY in writing and I will not charge for any such marketing tools at any time. Further to this, I understand that although I am allowed to conduct independent training events for the COMPANY, I may not charge an admission fee for such events without a written consent by the COMPANY.
18.   I understand that if I fail to comply with the terms of this agreement or Policies and Procedures of the COMPANY or any part of this agreement, the COMPANY, at its discretion, may terminate my Independent Distributorship or impose upon me other disciplinary action, including but not limited to, forfeiture of bonuses and commission, loss of all or part of my down-line marketing organization or customer base list. If I am in breach, default or violation of the agreement at termination, I shall not be entitled to receive any further bonuses or commissions, whether or not the sales of such bonuses or commissions have been completed. If this agreement is terminated for any reason, I will forever lose my rights as an ID, including rights to my down-line marketing organization and customer base list, and rights to compensation pursuant to the COMPANY’s Marketing and Compensation Plan. If I wish to disassociate myself with the COMPANY and cancel my Independent Distributorship, I may not be eligible to rejoin the company for a period of 12 (twelve) months.
    
    
19.   I understand that KEYTOS GLOBAL provides software for the transparent management of your sales activities, non-misleading promotional material and other support in the implementation of your sales. In no case is KEYTOS GLOBAL a seller of products offered on the market using the sales platform developed by KEYTOS GLOBAL. As a distributor, KEYTOS GLOBAL enters into various distribution relationships with business partners who offer products suitable for distribution through the KEYTOS GLOBAL platform. In doing so, KEYTOS GLOBAL cannot guarantee the operation of these products, be responsible for legal or material defects in the products, problems in delivery, fulfilment or other warranty claims. Any such claim must be addressed directly to the seller.
20.   This Agreement is governed under the Laws of Marhsall Islands. In the event that a dispute hereunder arises which cannot be resolved in the normal course, the following dispute resolution procedures shall be followed:

Ombudsman: first level disputes are resolved by the external Ombudsman, who is appointed by KEYTOS GLOBAL. Rules for resolving first level disputes are governed by the Ombudsman’s Procedure Guidelines, published on KEYTOS GLOBAL’s webpage.

Arbitration: second level disputes are resolved by binding arbitration in accordance with the Rules of the Arbitration of the International Chamber of Commerce. The arbitration will be heard and determined by a three-member panel, with one member selected by each party and the third (who will chair the panel) selected by the two party-appointed members. The place of arbitration shall be London, the proceeding shall be in English Language. The arbitration panel, as applicable, will apply Laws of Marshall Islands and the provisions of these Terms, will determine any dispute according to the Laws of Marshall Islands and facts based upon the record and no other basis, and will issue a reasoned award.

1.  The term of this agreement is one year (subject to prior cancellation as provided in the Terms and Conditions and Policies and Procedures). If I fail to annually renew my KEYTOS GLOBAL Independent Distributorship, or if it is cancelled or terminated for any reason, I understand that I will permanently lose all rights as an ID. I shall not be eligible to sell the COMPANY’s products and/or services, nor shall I be eligible to receive royalties, bonuses or other income resulting from the activities of my former down-line sales organization or customer base list. In the event of cancellation, termination or nonrenewal, I waive all rights I have, including but not limited to property rights, to my former down-line organization or customer base list and customer base list and to any bonuses, commissions or other remuneration derived through the sale and other activities of my former down-line organization and customer base list. The COMPANY reserves the right to terminate all Distributor Agreements upon 30 days notice if the COMPANY elects to: (1) cease business operations; (2) dissolve as a business entity; or (3) terminate distribution of its products and/or services via direct selling channels. IDs MAY CANCEL THIS AGREEMENT AT ANY TIME, AND FOR ANY REASON, UPON WRITTEN NOTICE TO THE COMPANY.
2.   I understand that failure to comply with the above COMPANY Terms and Conditions and Policies and Procedures may result in the termination of Agreement and/or the COMPANY’s Terms and Conditions and Policies and Procedures, the COMPANY may suspend my ID status and any payments due to me may be escrowed until final resolution has been achieved. I acknowledge that in the event of my violation of this Agreement and/or the COMPANY’s Terms and Conditions and/or Policies and Procedures, my ID rights may be terminated without further commission or payments of any kind.
3.   I agree to indemnify and hold the COMPANY, its directors, officers or employees harmless from any and all claims, damages or expenses (including attorney fees) that may arise out of my actions or conduct in violation of this Agreement.
4.   I acknowledge the COMPANY’S Compensation Program is based on current products and is subject to change without notice.
   
   

Definitions and Clarifications:

- Compensation Plan: Describes all payment, bonus, and reward details available at https://dashboard.keytos.global/documents/compensation_plan.

- Customer/Enrollee: A person or company based in the permitted territory, or its subsidiaries with written approval.

- Documentation: Manuals or specifications for product use.

- KYC Process: User identity verification to ensure transparency and avoid fraud.

- User: A Customer who made a purchase via KEYTOS platform.

- Independent Ambassador: A USER who made a purchase of the Yearly Ambassador Membership.

- Product: Listed in official materials.

- Promo Materials: Official promotional content from KEYTOS.

- Platform: The KEYTOS dashboard.

- Independent Ambassador: Someone using a referral code and promotional tools to market KEYTOS products.

- Sale: Occurs when an order is placed, received, and accepted by KEYTOS, and reflected in the Independent Ambassador dashboard.

- Territory: Countries explicitly allowed by KEYTOS. All other areas are off-limits (e.g., USA, BVI, UAE, SI, CA).

KEYTOS GLOBAL Operational Guidelines

Integration with Representative Contract

These Guidelines, along with the Remuneration Framework Document and the General Terms, are officially merged into the KEYTOS GLOBAL Independent Representative Agreement. All parts of this Agreement, including any modifications made at the sole discretion of KEYTOS GLOBAL (referred to hereafter as “KEYTOS GLOBAL” or “the COMPANY”), are binding and must be followed. The term “Agreement” as used throughout encompasses these Guidelines, the Remuneration Framework, and the General Terms.

Each  Independent Ambassador is solely responsible for reviewing, understanding, and complying with the latest version of these Operational Guidelines. When enrolling a new Independent Ambassador, it is the sponsor's duty to share the latest versions of these Guidelines, the General Terms, and the Remuneration Framework before completion of registration. KEYTOS GLOBAL reserves the right to alter any portion of these Guidelines, Terms, or Marketing Policies without prior notice.

Ethical Conduct

KEYTOS GLOBAL operates on principles of honesty and integrity, and expects the same from all Representatives in their interactions with clients, peers, and the COMPANY. Any activity deemed illegal or ethically improper will be addressed by the COMPANY, which retains the authority to determine and act on such conduct. Should unethical practices be confirmed, the COMPANY may suspend or terminate the Independent Representative’s status and withhold any further payments. Representatives terminated due to misconduct are not eligible for refunds or the right to transfer their account.

Examples of Unethical Behavior Include (but Are Not Limited To):

A. Sharing misleading or damaging statements about the COMPANY, its products, team members, or compensation plan.
B. Promoting unauthorized product claims not listed in official marketing content.

C. Making unauthorized income disclosures or sharing personal earning data.

D. Sharing internal portal data with unauthorized individuals.

E. Using confidential data to manipulate or affect another Representative's affiliation.

F. Misusing data from internal reports to compete with the COMPANY.

G. Disclosing, selling, or misappropriating client information.

H. Sharing secure login credentials with unapproved parties.

I. Unauthorized use of credit cards or falsification of signatures.

J. Using COMPANY intellectual property (e.g., logos, branding) without permission.

K. Breaching any legal regulations.

L. Direct or indirect competition with COMPANY offerings.

M. Harassment or unprofessional behavior toward any member of the COMPANY network.

N. Reselling products or collecting funds for services not offered directly by the COMPANY.

Insurance Notice

The COMPANY does not insure personal property of its Representatives. Business-use assets (vehicles, devices, etc.) are the Representative’s responsibility to cover.

Recruitment Restrictions

Cross-line recruiting is strictly prohibited. Representatives may not solicit individuals already affiliated with or considering a different KEYTOS GLOBAL team. Additionally, Representatives are barred from pitching other marketing opportunities to existing KEYTOS GLOBAL Representatives during or up to a year after ending their agreement, unless officially authorized. Violations will result in immediate account closure and forfeiture of compensation.

Eligibility Requirements

By entering into this agreement you represent and warrant that you: (a) are of legal age under your local law and at least 18 years old (applicable for natural persons); (b) you have full power and authority to enter into this agreement and (c) your KEYTOS GLOBAL account have not been previously suspended or removed.

Our Platform is not directed or allowed to any person in any jurisdiction where (by reason of that person's nationality, residence or otherwise) the availability of the Platform is or may be prohibited. Due to legal restrictions and/or our business discretion you are not allowed to access our Platform if you are located in, under the control of, resident, habitant or citizen of the countries not listed within the Territory (see definition above) or if you are a resident, citizen or if you are located in any other jurisdiction in which applicable laws prohibit you to access our Platform (“Restricted Use Areas”).

KEYTOS GLOBAL explicitly prohibits persons or entities in restricted use areas to use its Platform and KEYTOS GLOBAL shall not be held liable for any legal or monetary consequence arising of such use. By accessing or using our Platform you represent and warrant that your activities are lawful in every jurisdiction where you access our Platform. Please note that restricted use areas may change in the future.

As an Independent Distributor, you confirm that you are fully familiar with the local law and restrictions where you carry out your marketing activities. As a business entity, you are obliged to familiarize yourself with the legislation where you operate and check whether the sale of products is permitted under local law, as well as whether the method of direct sale used by KEYTOS GLOBAL is permitted. KEYTOS GLOBAL expressly prohibits its business partners from engaging in any marketing activity that is inconsistent with local law. In the event of any breach of local regulations by Independent Distributor, KEYTOS GLOBAL may terminate the business relationship with immediate effect, thereby terminating all KEYTOS GLOBAL's obligations to the Independent Distributor.

You can become an Independent Distributor and register into the Back Office without buying a product, so without any payment and completely free.

Local Law Compliance

Independent Representatives are expected to familiarize themselves with applicable laws in their operational region. All marketing activities must align with legal standards and the COMPANY’s business model. Should a Representative breach local legislation, KEYTOS GLOBAL reserves the right to terminate the partnership immediately and void all obligations.

Becoming a Representative does not require a product purchase. Registration is entirely free.

Monetary Benefits Prohibition

The COMPANY strictly forbids offering monetary gifts, bonuses, or rewards to attract new clients or Representatives. This restriction also helps eliminate cross-line recruiting.

Our sales structure is designed for sustainability and encourages client acquisition through consistent, value-based outreach.

Territorial Operations

Independent Representatives may market products and onboard new Representatives in countries where the COMPANY operates. No Representative has territorial exclusivity.

Compliance with country-specific policies is mandatory. Each Representative must understand and abide by local trade and advertising laws when operating internationally.

License and Use

Under this Agreement, KEYTOS GLOBAL grants Representatives a limited, non-exclusive, non-transferable, royalty-free license to promote and sell the COMPANY's products within the Territory using approved materials.

License validity is contingent on active status and lawful conduct. Engaging in prohibited marketing activities immediately voids the license.

Representative Tiers and Access

Only one account per individual or entity is permitted. Accounts created beyond this limit may be restricted or disabled.

During registration, participants must complete the KYC process to validate their identity. Certain account levels (e.g., Independent Ambassador, Partner) require full verification.

You are solely responsible for all activity under your login credentials. You may not sell, assign, or share access to your account. Misuse of login information may lead to account termination.

Payments and Billing

All transactions must be conducted in Crypto (USDC or USDT) using either ERC20 or TRC-20 protocols. Transfers must originate from personal wallets—payments made from exchange platforms or third-party systems are strictly prohibited.

Using unsupported digital assets or incorrect transaction methods releases KEYTOS GLOBAL from all responsibility. Invalid payments may be diverted to a separate wallet and processed manually, incurring a 20 USDT processing fee. Refunds are not guaranteed and may not be issued if the sender cannot be verified. Overpayments under 20 USDT are non-refundable.

KEYTOS GLOBAL does not offer exchange services. Users are responsible for independently converting currency and verifying third-party services such as itez.com. We do not guarantee or endorse any external providers.

Representatives may earn based on the Compensation Plan, which defines qualification criteria for various earnings. Maintaining these qualifications is essential to receive applicable commissions.

Payments are issued only after a valid invoice is received. Registration information must remain current and accurate to maintain eligibility. As commercial agents, Representatives waive consumer refund rights, even within the 14-day withdrawal period, due to the digital nature and market volatility of our offerings.

Cryptocurrency payments are irreversible and final. Attempting to dispute or reverse such transactions violates this Agreement and may result in legal and financial penalties.

Direct Mail, Printed Materials, and Brochures

Independent Representatives may not alter or substitute their name on approved materials originally created for other Independent Ambassadors. Photocopying of printed content is prohibited unless materials are specifically marked as printable from the COMPANY’s website. All distributed content must clearly show it originates from the Independent Representative, not KEYTOS GLOBAL.

Accountability and Insurance

The COMPANY does not provide insurance coverage for Independent Representatives or their property. Independent Ambassadors using personal assets such as vehicles, computers, or office spaces for business purposes are solely responsible for insuring those assets.

Transfer and Disposition of Business

An Independent Representative’s role may be passed on posthumously or through legal succession. Transfer or assignment during the Independent Ambassador's lifetime requires prior written COMPANY approval and is typically granted only under special circumstances such as health or social hardship.

Upon incapacity or death, the successor must comply with all applicable rules and requirements. In the case of temporary transfers, reactivation and deactivation rights may also be temporary. If transferring to someone who already holds an IR status, they must contact the COMPANY for case-specific guidance.

Product Exchange and Promotional Campaigns

Occasionally, the COMPANY may offer promotional campaigns enabling users to exchange previously acquired items for new ones. Each campaign will outline specific conditions, which must be explicitly accepted to proceed with the exchange. Once the exchange is accepted, rights to the original product are forfeited permanently.

Users are responsible for understanding the legal and contractual implications of such exchanges prior to participation.

Miscellaneous Legal Provisions

KEYTOS GLOBAL reserves the right to assign this Agreement in part or in full with written notice. This includes assignment of payment rights. Independent Representatives may not transfer their contractual position or obligations without express consent.

This Agreement is governed by the laws of the Marshall Islands, without regard to conflicts of law. If any clause is found unenforceable, the remainder shall remain valid. This Agreement replaces all prior verbal or written understandings between the parties.

All communications will be conducted in English. If translations are required, the initiating party bears the cost. All notices must be directed to [email protected].

The relationship defined herein is between independent contractors. No party is authorized to act on behalf of or bind the other in any capacity unless expressly stated.

Independent Representatives are not permitted to make guarantees, issue refunds, or create obligations outside those outlined in this Agreement. All commercial transactions between KEYTOS GLOBAL and its customers are distinct from the Independent Ambassador agreement.

Exclusivity Clause

KEYTOS GLOBAL maintains the right to promote, sell, and license its products worldwide, including to customers associated with any Independent Ambassador , through any channel of its choosing. Independent Ambassadors may not promote non-KEYTOS products to clients or leads sourced through the KEYTOS ecosystem.

Privacy Commitment

KEYTOS GLOBAL is committed to safeguarding personal data of Independent Ambassadors and customers. Misuse, unauthorized access, or disclosure of personal information constitutes a breach of the COMPANY’s privacy policy and may result in termination.

Final Statement

These Terms and accompanying documents aim to preserve the integrity of the KEYTOS GLOBAL model for all participants. Any violations may result in suspension or permanent revocation of Independent Ambassador status.

Our mission is to provide fair opportunity and long-term collaboration with Independent Ambassadors built on professionalism and mutual trust. Adhering to these Terms ensures a successful partnership.
